Welcome to Nerds + Coffee! These terms and conditions govern your use of our freelance web development services. By
accessing or using our services, you agree to comply with and be bound by the following terms and conditions:
Scope of Services:
- a. Nerds + Coffee provides freelance web development services, including but not limited to website design, development,
maintenance, and related technical support.
- b. The specific details of the services, including project scope, timeline, and cost, will be agreed upon between Nerds
+ Coffee and the client on a per-project basis.
Client Responsibilties:
- a. The client agrees to provide all necessary information, materials, and access to third-party accounts (if required)
to enable Nerds + Coffee to perform the requested services.
- b. The client is responsible for ensuring the accuracy and legality of any content provided to Nerds + Coffee, including
text, images, and other media.
Pricing and Payment:
- a. Nerds + Coffee will provide a detailed quote outlining the project scope and associated costs. Any changes to the
project scope may result in additional charges.
- b. Payment terms will be agreed upon between Nerds + Coffee and the client. Typically, a deposit or partial payment may
be required before the project commences, with the remaining balance due upon project completion.
- c. Late payments may incur additional charges or result in project suspension until payment is received.
Intellectual Property:
- a. The client retains ownership of any intellectual property (e.g., logos, content) provided to Nerds + Coffee.
- b. Nerds + Coffee retains ownership of any pre-existing materials or intellectual property used in the development
process.
- c. Upon full payment, Nerds + Coffee grants the client a non-exclusive, non-transferable license to use the developed
website, excluding any third-party components or software.
Confidentiality:
- a. Both Nerds + Coffee and the client agree to treat all information shared during the project as confidential,
including but not limited to project details, proprietary business information, and trade secrets.
Termination:
- a. Either party may terminate the project or engagement by providing written notice to the other party.
- b. In the event of termination, the client shall compensate Nerds + Coffee for any work completed up to the termination
date.
- c. Deposit is non-refundable.
Limitation of Liability:
- a. Nerds + Coffee will make every effort to ensure the accuracy and functionality of the delivered website. However,
Nerds + Coffee shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use
or inability to use the website or any services provided.
- b. The client agrees to indemnify and hold Nerds + Coffee and any freelancers harmless from any claims, damages, or losses
arising from the client's use of the website or services.
Modifications:
- a. Nerds + Coffee reserves the right to modify these terms and conditions at any time. Any changes will be communicated
to the client and will become effective upon their acceptance.
Governing Law:
- a. These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction in
which Nerds + Coffee is located.
By engaging Nerds + Coffee's services, you acknowledge that you have read, understood, and agreed to these terms and
